Phoenix Mecano AGM approves cancellation of repurchased shares and all other motions
Schaffhausen, 21 May 2026. The Annual General Meeting of Phoenix Mecano AG took place today at the Vienna House zur Bleiche in Schaffhausen. 70 shareholders, representing 74 308 voting rights, were present at the Annual General Meeting, whilst 676 094 voting rights were represented by the independent proxy. This attendance corresponds to a total of 78.13% of the share capital.
The General Meeting resolved to cancel 40,665 of the company’s own registered shares. These had been repurchased as part of the share buyback programmes launched on 26 October 2023 and 15 November 2023. At the same time, the share capital was reduced to CHF 919,835.
Furthermore, the shareholders approved the annual financial statements and the consolidated financial statements for 2025. In consultative votes, the shareholders also took note of and approved the 2025 Sustainability Report and the Remuneration Report. The proposed ordinary dividend of CHF 19.50 per share was also approved. It will be paid out from 28 May 2026.
All members of the Board of Directors were re-elected for a term of one year, and Benedikt Goldkamp was confirmed as Chairman of the Board of Directors.
